PRACTICE AREAS

What kinds of nuts and bolts business transactions and legal representation do we provide? In sum, commercial transactions and litigation. For example, we:
  • form corporations and other types of business associations (partnerships, joint ventures, etc.)
  • help the small and medium business corporation or other type of association comply with the laws under which it was formed

  • represent parties in all types of civil litigation including collection actions, contract disputes, and business torts
  • help businesses to improve the efficiency and cost effectiveness of their collection efforts
  • represent debtors and creditors in state court collection matters and in bankruptcy


HOW WE OPERATE

We will typically offer a free consultation (in person or on the phone) for the purposes of generally discussing the matter and whether we can assist. If, after a consultation, we believe that your matter requires the assistance of a specialist in a particular area of the law, we will tell you that, and, if you want, help you to find specialized assistance. Because bankruptcy consultation usually involves substantive discussion of the law and the facts and circumstances of the case, it must ordinarily be done in person and is much more involved.

If your matter is one where we can be of assistance, we will frankly discuss the cost of legal assistance, and, if possible, options for controlling those costs. Before we are engaged we will enter into an engagement agreement. You should review all engagement agreements carefully to ensure that they meet with your approval.

Some matters like business transactions and the prosecution or defense of lawsuits, while susceptible to the creation of budgets, do not lend themselves to shortcuts. On the other hand, you may need to decide whether to file suit, defend an action, or otherwise participate in a particular transaction. In those type of cases, a quick answer focusing in on the major cases or statutes may be more important than one that is based on extensive research. While the one based on extensive research will likely be more definitive, you may not want or need the extra degree of certainty.

Our goal is to give you what you want and need, not what we decide you should have.

Third, we hope that by showing you that we can provide high quality legal services, on a cost effective basis, in a timely manner, you will make us your general counsel. It is sometimes said that a little knowledge is a dangerous thing. We think that is only true when the person with a little knowledge assumes that he or she is now an expert. We think that, far from being dangerous, a little knowledge on the part of clients facilitates the attorney - client relationship. A little knowledge will not turn a client into an attorney, but it should help the client to better understand the legal matter, what needs to be done in order to properly address the matter, and why.

We believe in making sure that the client understands what is happening and why. We think it leads to more satisfactory results for the client.

Regulations Affecting Businesses with Employees
A discussion of some of the laws and regulations governing the employer - employee relationship, including those setting forth minimum wage and overtime requirements. A number of the laws and regulations require that the employer post certain information. This discussion is primarly geared to Pennsylvania employers.

Interpretation of Contracts
A brief memo on the interpretation of contracts under Pennsylvania law.

Fraudulent Misrepresentation
A discussion of how you can be held liable to third parties for innocent or reckless representations.

Fraudulent Transfer Law
A discussion of fraudulent transfer law, including an extensive discussion of the application of fraudulent transfer law to leveraged buyouts. Anybody buying the assets of a business, or selling a business where the purchase price is to be borrowed against the assets of the business, needs to be aware of this body of law.

Successor Liability
A very brief discussion of successor liability under Pennsylvania Law. This is again something about which purchasers of assets of a business need to be aware.

Non-compete Agreements
A discussion of the issues which arise in seeking to enforce a non-compete agreement.

Customer Lists as Trade Secrets
A brief discussion of the issues which arise in determining whether a customer list constitutes a trade secret which can be protected.
